Terms and Conditions

The Ignite Marketing FZ-LLC provides professional digital marketing services, which may include, but are not limited to, Search Engine Optimization (SEO), Paid Media Management, Social Media Marketing, Content Marketing, Website Design and Development, Analytics, Consulting, and other related digital services (collectively, “Services”).

Specific details regarding the scope of work, deliverables, timelines, and fees for any Services will be outlined in a separate written agreement or proposal between The Ignite Marketing FZ-LLC and the client (“Service Agreement”). These Terms and Conditions apply to your general use of our website and form a foundational part of any Service Agreement, unless expressly contradicted by the Service Agreement.

 

2. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of The Ignite Marketing FZ-LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Arab Emirates and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of The Ignite Marketing FZ-LLC.

Any content provided by clients for the purpose of delivering our Services (e.g., logos, images, text for website content, ad copy) remains the intellectual property of the client. The client grants The Ignite Marketing FZ-LLC a non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content solely for the purpose of providing the agreed-upon Services.

 

3. User Responsibilities and Conduct

By accessing or using our Service, you agree to:

  • Use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Service.
  • Not upload or transmit through the Service any computer viruses, trojan horses, worms, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer.
  • Not engage in any unauthorized use of the Service, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email.

4. Payment and Billing

Unless otherwise specified in a separate Service Agreement:

  • Fees for Services will be clearly communicated and agreed upon prior to commencement of work.
  • Payment terms, including upfront payments, monthly retainers, or project-based fees, will be detailed in the Service Agreement.

This obligation of confidentiality shall survive the termination of any Service Agreement.

 

6. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

The Ignite Marketing FZ-LLC does not warrant that:

  • The Service will function uninterrupted, securely, or be available at any particular time or location.
  • Any errors or defects will be corrected.
  • The Service is free of viruses or other harmful components.

  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our total liability to you for any and all claims arising out of or in connection with these Terms or the Service shall not exceed the amount paid by you to us for the specific Service giving rise to the claim, if any, during the twelve (12) month period immediately preceding the event giving rise to such liability.

 

8. Indemnification

You agree to defend, indemnify, and hold harmless The Ignite Marketing FZ-LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

  • Your use and access of the Service, by you or any person using your account and password.
  • A breach of these Terms.
  • Your violation of any rights of a third party, including without limitation, any intellectual property right or privacy right.
  • Any claim that your content caused damage to a third party.

10. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Ras Al Khaimah, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

 

12. Changes to These Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
